1. Acceptance of Terms
By accessing or using the Flamezo platform, website (https://www.flamezo.in), dashboard, mobile applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you ("Restaurant Partner," "User," or "you") and Flamezo, a product of Onomatrix AI ("Flamezo," "we," "us," or "our"). If you are entering into these Terms on behalf of a business entity, you represent that you have the legal authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use our Services.
2. Description of Services
Flamezo provides a Software-as-a-Service (SaaS) restaurant management platform that includes:
- •Digital QR-based menu management and ordering system
- •In-store table ordering and POS integration
- •WhatsApp-based ordering and marketing automation
- •Customer loyalty and reward programs
- •Marketing campaign management (SMS, WhatsApp, Email)
- •AI-powered media generation and image enhancement tools
- •Delivery logistics integration (Borzo, Flash, and partner providers)
- •Analytics and business intelligence dashboard
- •Payment processing facilitation via third-party payment gateways (Razorpay, and others)
- •The FLAMEZO consumer-facing discovery and loyalty platform
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice to active subscribers.
3. Eligibility & Account Registration
To use our Services, you must:
- •Be at least 18 years of age
- •Be a legitimate business owner or authorized representative of a food service establishment
- •Provide accurate, complete, and current information during registration
- •Maintain the confidentiality of your account credentials
- •Notify us immediately of any unauthorized access or security breach
You are responsible for all activities that occur under your account. Flamezo reserves the right to refuse service, suspend, or terminate accounts at its sole discretion.
4. Subscription Plans & Fees
4.1 Available Plan
Flamezo operates a single-tier platform model: • Onboarding is free for every restaurant — no setup fee, no annual fee, no unlock fee. • Once you begin processing online orders, a 1.5% commission applies per order with a ₹399/month minimum floor (see 4.2). • Restaurants that never enable online payments remain on Flamezo at ₹0 indefinitely.
4.2 Floor Recovery Model
Once online payments are enabled, billing follows a "Growth Success Partner" model: • A 1.5% commission is deducted from every order processed through the platform. • At the end of each billing month, if total commissions collected are below ₹399, the shortfall (difference between ₹399 and commissions collected) is charged to your registered payment method or deducted from your Unified Wallet. • If commissions exceed ₹399 in a month, no additional monthly charge is applied.
4.3 Unified Wallet
• The Unified Wallet uses a 1 Coin = ₹1 equivalence. • Wallet recharges attract an 18% GST applied at the time of recharge. • A wallet grace period of -₹100 is provided to prevent service interruption during peak hours. • Wallet credits are non-refundable and non-transferable except as described in Section 7.
4.4 Add-On & Usage Charges
The following are charged directly from your Unified Wallet: • SMS: ₹0.25 per message • WhatsApp: ₹1.20 per message • Email: ₹0.05 per message • Lead Unlock (>24 hours, Gold only): ₹1.00 per lead • Delivery Handling: ₹5.00 per delivery order (Borzo/Flash integration) • AI Dish Generation: ₹10.00 per image • AI Image Enhancement: ₹5.00 per image
4.5 Price Changes
We reserve the right to modify our pricing. We will provide at least 30 days' advance notice of any price changes to active subscribers via email or in-platform notification. Continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing.
5. Payment Terms
5.1 Payment Methods
We accept payments via: • UPI (0% surcharge) • Credit/Debit Cards • Net Banking • Razorpay Mandate (auto-debit) for subscription recovery • Wallet balance (Unified Wallet)
5.2 Payment Processing
All payments are processed by third-party payment gateways (currently Razorpay). Flamezo does not store your full card or bank account details. Payment processing is subject to the terms and privacy policies of the respective payment gateway providers.
5.3 Failed Payments
If a subscription payment or floor recovery charge fails: • We will retry the payment up to 3 times over 7 days. • Your account may be downgraded or suspended if payment remains outstanding for more than 15 days. • You remain liable for all accrued charges during the service period regardless of payment status.
5.4 Taxes
All prices are exclusive of applicable taxes unless stated otherwise. GST (currently 18%) is applicable on wallet recharges and subscription fees as per Indian tax law. You are responsible for any taxes applicable in your jurisdiction.
6. Acceptable Use Policy
You agree NOT to use our Services to:
- •List, sell, or promote illegal, prohibited, or fraudulent products or services
- •Engage in any form of spamming, phishing, or unsolicited bulk messaging
- •Circumvent, disable, or interfere with security features of the platform
- •Access or tamper with data belonging to other restaurants or users
- •Use automated scripts, bots, or scrapers on the platform without prior written consent
- •Violate any applicable local, state, national, or international law or regulation
- •Upload content that is defamatory, obscene, or infringes third-party intellectual property rights
- •Resell, sublicense, or provide the Services to third parties without explicit written authorization
7. Data Ownership & Restaurant Data
7.1 Your Data
You retain full ownership of all data you input into the platform, including menu items, customer data, order history, and business information ("Restaurant Data"). By using our Services, you grant Flamezo a limited, non-exclusive license to process and store this data solely for the purpose of providing the Services.
7.2 Flamezo Platform Data
Aggregated, anonymized data derived from platform usage (e.g., industry benchmarks, performance analytics) remains the property of Flamezo and may be used for product improvement and marketing purposes without identifying individual restaurants or customers.
7.3 Data on Termination
Upon account termination, you may request an export of your Restaurant Data within 30 days of termination. After 30 days, Flamezo may permanently delete your data from its systems.
8. Intellectual Property
All software, interfaces, designs, code, logos, trademarks, and content comprising the Flamezo platform are the exclusive intellectual property of Onomatrix AI and/or its licensors. Nothing in these Terms grants you any ownership right in the platform. You may not copy, reproduce, reverse-engineer, decompile, or create derivative works based on the platform without explicit written permission. Content you create using our AI tools (AI Dish Generation, AI Enhancement) — once generated and delivered to you — is owned by you for commercial use within the scope of your restaurant business.
9. Third-Party Integrations & Services
Flamezo integrates with third-party services including payment gateways, delivery partners, and communication providers. Use of these services is governed by their respective terms and policies. Flamezo is not responsible for:
- •Downtime or failures of third-party services
- •Changes to third-party APIs or pricing
- •Data handling practices of third-party providers
- •Quality or timeliness of delivery services provided by logistics partners (Borzo, Flash)
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- •Flamezo is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services
- •Our total cumulative liability to you for any claim arising from these Terms or your use of the Services shall not exceed the total fees paid by you to Flamezo in the 3 months preceding the claim
- •Flamezo does not guarantee uninterrupted, error-free, or secure access to the Services
- •We are not responsible for losses arising from internet outages, third-party failures, force majeure events, or actions outside our reasonable control
11. Disclaimer of Warranties
The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Flamezo does not warrant that: • The Services will meet your specific requirements • The Services will be uninterrupted, timely, secure, or error-free • Results obtained from using the Services will be accurate or reliable • Any errors in the Services will be corrected
12. Indemnification
You agree to indemnify, defend, and hold harmless Flamezo, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
- •Your use of or access to the Services
- •Your violation of these Terms
- •Your violation of any applicable law or third-party rights
- •Any content or data you submit, post, or transmit through the Services
- •Any dispute between you and your customers
13. Termination
13.1 By You
You may terminate your account at any time by contacting us at contact@flamezo.in. Termination does not entitle you to a refund of any fees already paid, except as described in our Refund & Cancellation Policy.
13.2 By Flamezo
We may suspend or terminate your account immediately, without prior notice, if: • You violate these Terms or our Acceptable Use Policy • You engage in fraudulent or illegal activity • Payment is overdue by more than 30 days • We are required to do so by law or regulatory authority Upon termination, your right to access the Services ceases immediately.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Services shall be first attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India. For disputes involving amounts under ₹1,00,000, the parties agree to attempt resolution through online mediation before resorting to litigation.
15. Changes to These Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via: • Email notification to registered account holders • Prominent notice on the Flamezo dashboard • Updated "Last Modified" date on this page Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.
